Terms of Service

1. Acceptance of the Terms

These Terms of Service (“Terms”) govern your access to and use of the Istina application and related services (“Istina”, “Service”).

By creating an account, accessing, or using Istina, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not use the Service.

2. Service Provider

Istina is operated by:

3. Eligibility

Istina is intended solely for users who are 18 years of age or older.

By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under applicable law

We reserve the right to suspend or terminate accounts that do not meet these requirements.

4. Account Registration and Access

4.1 Account Creation

To use Istina, you must create an account using a valid email address.

Authentication is performed via passwordless login using one-time verification codes.

4.2 Invite-Only Access

Access to Istina may be limited, including through invite codes or access keys.

We reserve the right to grant, restrict, suspend, or revoke access at our discretion.

4.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account access
• All activity occurring under your account

We are not responsible for unauthorized access resulting from your failure to secure your account.

5. Use of the Service

You agree to use Istina in a lawful, respectful, and responsible manner.

You must not:

• Violate any applicable laws or regulations;
• Harass, abuse, or harm other users;
• Upload illegal, misleading, or infringing content;
• Upload, share, or distribute content that infringes the intellectual property rights (including copyright, trademark, or related rights) of others;
• Impersonate others or create fake accounts;
• Attempt to interfere with or compromise the Service;
• Circumvent security or access controls;
• Target, solicit, or engage minors or individuals under the age of 18;
• Promote or facilitate illegal activities, including the promotion or sale of illegal drugs, controlled substances, or unlawful products;
• Promote alcohol, tobacco, vaping products, prescription medicines, or medical treatments in violation of applicable laws or where such content may be accessed by minors.

We reserve the right to remove content, restrict features, or suspend accounts that violate these Terms.

6. User Content

6.1 Responsibility

You are solely responsible for the content you upload, post, or share through Istina, including photos, videos, voice messages, comments, and messages.

You represent that you have all necessary rights to the content you share.

6.2 License

By submitting content to Istina, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display publicly, and reproduce, modify (format/encode), distribute such content solely for the purpose of operating and providing the Service.

6.3 Ownership and Third‑Party Rights

You retain all ownership rights in your User Content, including intellectual property rights, subject to the license granted in Section 6.2. Istina does not grant any third parties (including other users or advertisers) commercial rights to your content beyond what is necessary to operate the Service, unless you expressly agree otherwise through separate terms or features.

7. Social Features and Communications

Istina enables interactions such as following users, messaging, greetings, and group chats.

• Private communications are intended to be confidential
• You may block other users at any time
• Abuse, harassment, or misuse of communication features may result in enforcement actions

7.1 Location Sharing and Visibility

Location sharing is entirely user‑controlled. You determine whether to share your location (neighborhood/area level only). Exact coordinates are never shared or displayed. Disabling or limiting location sharing may restrict access to discovery, events, contests, nearby content, and other features. Location processing is further detailed in the Privacy Policy.

We do not guarantee the behavior of other users.

8. Real‑World Interactions and Safety

Istina enables users to discover other users, events, contests, quests, and locations in the real world. Any in‑person meetings, attendance at events, quests, or other offline interactions that arise from use of the Service are undertaken solely at your own risk.

You are solely responsible for your offline interactions with other users and third parties and must exercise appropriate caution and judgment, including when deciding whether to share your location or personal information, or to meet someone in person. Istina does not conduct criminal background checks, verify the identity, safety, or trustworthiness of users or creators, or inspect or monitor any locations, venues, or real‑world activities accessible through the Service.

To the maximum extent permitted by applicable law, Istina is not responsible for, and disclaims all liability arising out of or in connection with, any physical injury, death, property damage, loss, or dispute that you may suffer or cause in connection with any in‑person meeting, event, quest, or other real‑world interaction connected to the Service. Nothing in these Terms limits any mandatory consumer rights that cannot be excluded under applicable law.

9. Wallet and Digital Assets (Non-Custodial)

9.1 Non-Custodial Nature

Istina provides access to a non-custodial wallet.

We do not:

• Hold private keys
• Control user funds
• Sign or initiate transactions
• Have the ability to reverse transactions or recover funds

You are solely responsible for securing your wallet and backups.

9.2 Blockchain Risks

You acknowledge that:

• Blockchain transactions are public and immutable
• Digital assets may be lost due to user error, loss of access, or technical issues
• Transactions cannot be reversed once confirmed

We are not responsible for any loss of digital assets.

Istina may allow users to bridge supported digital assets between blockchain networks (for example, from Ethereum to Solana or from Solana to Ethereum) in order to use certain features of the Service.

You acknowledge that:

• Bridging transactions are irreversible once initiated
• Bridging involves smart contracts and blockchain networks not controlled by Istina
• Delays, failures, or loss of funds may occur due to technical, network, or third-party issues

Istina does not control, guarantee, or insure the outcome of any bridging transaction and shall not be liable for losses arising from such operations.

Digital assets displayed or referenced within the Service, including USDC, are blockchain-based tokens whose value may fluctuate or be affected by external factors.

Istina does not guarantee the value, stability, or convertibility of any digital asset.

9.3 No Financial Services

Istina does not provide financial, investment, brokerage, custodial, or advisory services.

Istina is not a bank, money services business, payment institution, broker-dealer, investment adviser, or exchange.

Any digital asset functionality is provided solely as a technical interface to user-controlled blockchain networks.

Users are solely responsible for compliance with applicable financial, tax, and reporting obligations.

9.4 Platform Fees

All such transactions are subject to platform fees as detailed in Section 18.

10. Tips, Transfers, and Payments

Istina may allow users to send digital assets (e.g. USDC) to other users, including tips or rewards.

You acknowledge that:

• All transfers are user-initiated
• Istina does not guarantee the delivery, value, timing, or outcome of any user-initiated transaction, event, contest, quest, or digital asset transfer.
• Digital asset transactions may involve network fees and delays

11. Events, Contests, and Quests

Users may create or participate in events, contests, and quests.

You acknowledge that:

• Availability may vary by jurisdiction
• Participation may be free or paid
• Rankings, rewards, and outcomes are determined according to the rules of each event
• Digital asset rewards are subject to blockchain constraints

Creators are responsible for pricing, taxes, refunds, and chargebacks. Istina may deduct fees.

Istina does not provide legal, tax, or regulatory advice to creators or participants.

Participation in events, contests, or quests does not constitute an investment, financial product, or profit-sharing arrangement.

Creators of events, contests, or quests must accept the applicable Creator Declaration prior to publication. Each Creator Declaration forms an integral part of these Terms and is available at:

Participation in events, contests, or quests is subject to additional rules and notices applicable to participants, including the relevant Participation Rules, which form an integral part of these Terms and are available at:

11.1 Platform Role

Istina acts solely as a technology platform that enables users to create, host, and participate in events, contests, and quests.

Istina is not the organizer, sponsor, or promoter of any event, contest, or quest, does not set the rules, and does not offer or fund prizes or prize pools.

Nothing in these Terms limits any mandatory consumer rights that cannot be excluded under applicable law.

11.2 Rules and Creator Responsibility

The rules and prize conditions of each event, contest, or quest are defined by the creator and made available to participants prior to participation.

For the avoidance of doubt, eligibility criteria and ranking mechanisms for contests and quests are determined exclusively by Istina's technical mechanisms and are not configurable by the creator.

The creator is solely responsible for ensuring that:

• the rules are clear, complete, and accurate;
• the event, contest, or quest complies with all applicable laws and regulations in each jurisdiction where it is promoted, accessible, or targeted; and
• any required disclosures, registrations, approvals, or limitations are properly implemented.

Participants are solely responsible for reviewing and understanding the applicable rules before entering.

The creator is solely responsible for ensuring that:

Certain features of the Service, including events, contests, quests, prize mechanisms, or digital asset rewards, may be restricted or prohibited under the laws of certain jurisdictions.

Istina does not represent or warrant that any event, contest, quest, or feature is lawful in all jurisdictions.

It is the sole responsibility of the creator to ensure that their use of the Service, and the promotion of any event, contest, or quest, complies with applicable laws in each relevant country, state, or territory.

11.3 Event Cancellations and Refunds

The cancellation, postponement, and refund conditions applicable to events are determined by the event creator and described in the applicable event listing and the Event Cancellation & Refund Policy.

Istina does not guarantee refunds and is not responsible for refund decisions, except where required by applicable law or expressly stated otherwise.

11.4 Prize Pools and Smart Contracts

Istina does not guarantee prizes, participation levels, rankings, or outcomes of any event, contest, or quest. Responsibility for prize funding and distribution rests solely with the event or contest creator, unless expressly stated otherwise, regardless of the value of any prize pool.

For certain contests and quests, prize pools may be locked and managed through on-chain smart contracts that function as an escrow-like mechanism.

Such smart contracts are designed to hold the prize funds in a neutral, non-custodial manner until the applicable distribution conditions are met or a refund is approved in accordance with these Terms.

Istina does not have custody of, or access to, escrowed prize funds and cannot unilaterally withdraw, redirect, or use such funds.

11.5 Prize Distribution and Review

At the conclusion of a contest or quest, prize distribution is subject to:

• confirmation of results by the contest or quest creator; and
• review by Istina that the applicable rules, eligibility criteria, and integrity requirements have been met.

"Istina review" means a procedural verification conducted by Istina, acting reasonably and in good faith, to assess whether:

• the applicable rules and eligibility criteria have been complied with;
• the integrity of the contest or quest has not been compromised; and
• no violation of these Terms or applicable law is reasonably apparent.

Istina review does not constitute sponsorship, funding, custody, or control of prize funds.

Istina review does not constitute a guarantee of payment or outcome, and does not involve the holding, transfer, or custody of funds, nor the provision of escrow, payment, or money transmission services.

Following completion of the review, prize distribution may proceed in accordance with the applicable on-chain mechanisms and contest or quest rules.

11.6 Nature of Contests and Quests

Contests and quests available on Istina are designed as skill-based activities.

Outcomes are determined by objective criteria such as participant actions, performance, or timing, as described in the applicable rules, and do not involve random selection, chance-based draws, or lotteries operated by Istina.

Istina does not operate games of chance, lotteries, or gambling activities.

11.7 Cancellations, Disputes, and Suspension

If Istina determines, acting reasonably and in good faith, that a contest or quest complies with these Terms, the applicable rules, and legal requirements, Istina may approve prize distribution to the eligible winner(s), including in cases where the creator has requested cancellation after the contest or quest has effectively concluded or where cancellation would unfairly prejudice participants.

In such cases, the creator acknowledges that prize distribution may proceed notwithstanding a cancellation request.

If a creator fails to confirm results within a reasonable time, Istina may take reasonable steps to verify results and proceed in accordance with the rules.

If Istina determines, acting reasonably and in good faith, that a contest or quest violates these Terms, applicable rules, or legal requirements, Istina may:

• Decline to approve prize distribution, and
• Approve a refund of the prize pool to the contest or quest creator, where technically possible.

If a contest or quest is canceled, prize funds may be refunded after verification by Istina.

If not canceled, the contest or quest will proceed as scheduled.

Istina may request additional evidence and may pause distribution while a dispute is reviewed.

Istina has no obligation to conduct a forensic investigation and may rely on information provided by creators, participants, and on-chain data.

Istina reserves the right to suspend, modify, or remove any event, contest, quest, contest entry, post, or related content at any time, including after launch, if necessary to:

• Enforce these Terms
• Prevent fraud, abuse, or manipulation
• Comply with legal or regulatory obligations
• Protect the integrity of the Service or users

11.8 Prohibited Content and Targeting

Creators and participants must not create, promote, or conduct any event, contest, or quest that:

• promotes or advertises alcohol, tobacco products, vaping products, recreational drugs, controlled substances, prescription medicines, or medical treatments;
• targets, is directed at, or is intended to attract minors or individuals under the age of 18;
• encourages unlawful, harmful, or unsafe behavior; or
• otherwise violates applicable advertising, consumer protection, public health, or youth protection laws.

Istina does not permit the use of the Service to promote or facilitate activities restricted to adults where such activities may be accessed by minors.

Creators are solely responsible for ensuring that their events, contests, and quests comply with all applicable laws, regulations, and advertising restrictions in each jurisdiction where they are promoted or accessible.

Istina does not review or approve events, contests, or quests for compliance with local advertising, alcohol, tobacco, pharmaceutical, or youth protection laws and shall not be responsible for any failure by a creator to comply with such requirements.

Istina reserves the right to suspend, modify, or remove any event, contest, quest, or related content that violates this section, with or without prior notice.

Certain contests or prize mechanisms may be considered illegal, restricted, or regulated in certain U.S. states or jurisdictions.

Creators are solely responsible for ensuring that their events, contests, or quests comply with all applicable U.S. federal, state, and local laws, including sweepstakes, contest, and gambling laws.

Istina does not verify or guarantee such compliance.

Creators are solely responsible for ensuring that their contests or quests comply with applicable laws in each jurisdiction where they are promoted or accessible.

11.9 Immutability of Rules After Launch

Once a contest or quest has been launched and made available to participants, the applicable rules, eligibility criteria, ranking mechanisms, prize conditions, and key parameters may not be modified by the creator in a manner that would materially affect fairness, participant expectations, or outcomes.

Any attempt to materially modify such elements after launch may result in suspension, cancellation, or other enforcement action by Istina.

Notwithstanding the foregoing, Istina reserves the right to approve limited, non-material modifications or to intervene where necessary to:

• correct obvious errors,
• address technical issues,
• comply with legal or regulatory requirements, or
• protect the integrity of the Service or participants.

11.10 Tax Responsibility Disclaimer

Users including creators and participants are solely responsible for determining and complying with any tax reporting, withholding, or payment obligations arising from digital asset transactions, prizes, or rewards received through the Service.

Istina does not provide tax advice and does not perform tax reporting on behalf of users.

12. Suspension and Termination

We may suspend or terminate your account, acting reasonably and in good faith, if:

• You violate these Terms
• Required by law or regulation
• Necessary to protect the Service or users

You may request deletion of your account at any time, subject to the procedures described in the Privacy Policy.

13. Disclaimer of Warranties

Istina is provided “as is” and “as available”.

We make no warranties regarding:

• Availability or uninterrupted access
• Accuracy or reliability of content
• Fitness for a particular purpose

Use of the Service is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law:

• Altiora Labs LLC shall not be liable for indirect, incidental, or consequential damages
• We are not liable for loss of data, digital assets, profits, or opportunities
• To the maximum extent permitted by law, Istina shall not be liable for any loss of digital assets, prizes, rewards, or funds provided or managed by users through the Service.
• In all cases, Istina’s total aggregate liability arising out of or related to the Service shall not exceed the fees actually paid by you to Istina for the use of the Service during the twelve (12) months preceding the event giving rise to the claim, if any.
• For the avoidance of doubt, 'fees paid' means amounts or commissions paid to Istina directly (excluding blockchain network fees).

Some jurisdictions do not allow certain limitations of liability; in such cases, liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless Altiora Labs LLC from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your content
• Your violation of these Terms

16. Modifications to the Service or Terms

We may modify the Service or these Terms at any time.

Material changes will be communicated through the application or by email.

Continued use of the Service constitutes acceptance of the updated Terms.

17. EU / EEA Consumers

If you are a consumer located in the European Union or the European Economic Area (EU/EEA), the following additional provisions apply:

Mandatory Consumer Rights

Nothing in these Terms limits or affects your mandatory statutory rights as a consumer under applicable EU/EEA law, including rights relating to defective digital services, remedies for non-conformity, and unfair contract terms. Where EU/EEA consumer protection laws provide stronger protections than these Terms, those laws prevail.

Right of Withdrawal

Where applicable under EU/EEA law, you may have a statutory right of withdrawal for certain paid digital services.

However, withdrawal rights do not apply to:

• digital services that are fully performed with your prior express consent before the withdrawal period expires;
• digital content or services that are personalized; or
• services that begin immediately upon purchase or participation (including events, contests, or quests), where you have expressly consented to immediate performance and acknowledged the loss of the withdrawal right.

Where a right of withdrawal applies, instructions for exercising it are provided at the time of purchase or in the applicable Participation Rules.

Complaints and Dispute Resolution

You may submit complaints regarding the Service to:

If a dispute remains unresolved, you may also use applicable EU/EEA online dispute resolution mechanisms, including the EU Online Dispute Resolution (ODR) platform, where available.

Online Platform Obligations (EU Digital Services Act)

Istina acts as an online intermediation platform hosting user-generated content, events, contests, and quests within the meaning of the EU Digital Services Act (Regulation (EU) 2022/2065).

We implement and maintain procedures designed to comply with applicable obligations relating to transparency, notice-and-action mechanisms, illegal content reporting, and statements of reasons, as required by law.

Creators and users remain solely responsible for the content they create, publish, or participate in.

18. Fees and Commissions

Istina charges platform fees/commissions on certain transactions, automatically deducted from the relevant amount (net payout = gross minus fees, blockchain gas, and taxes where applicable). Fees include but are not limited to:

• Tips sent between users
• Event ticket sales and contest/quest access
• Contest/quest prize pool contributions and distributions
• Paid messages to non-followers
• User to user transfers
• USDC withdrawals

Current fees are displayed in real time within the app before every transaction confirmation. We reserve the right to update fees. Future monetization features (e.g., subscriptions) may have separate terms.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of Georgia (the country), excluding its conflict-of-law rules.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Georgia (the country).

20. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
